3. User Accounts and Registration

To use our Service, you must:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account

4. User Roles and Responsibilities

4.1 Brands

Brands using our platform agree to:

  • Provide clear campaign requirements and guidelines
  • Fund campaigns with sufficient budget for payouts
  • Evaluate submissions fairly and in accordance with stated criteria
  • Make payments as agreed upon campaign completion

4.2 Creators

Creators using our platform agree to:

  • Submit original content that complies with campaign requirements
  • Provide accurate social media metrics and performance data
  • Maintain professional conduct in all interactions
  • Connect valid social media accounts for performance tracking

5. Payment and Financial Terms

Our platform facilitates secure payments through escrow services:

  • All campaign funds are held in escrow until campaign completion
  • Payments are processed based on verified performance metrics
  • Platform fees apply as detailed in our pricing structure
  • Dispute resolution mechanisms are available for payment disagreements

6. Content and Intellectual Property

Users retain ownership of their original content but grant Prizefully:

  • License to display submitted content on our platform
  • Rights to use anonymized performance data for platform improvement
  • Authority to remove content that violates our guidelines

7. Social Media Integration

Our platform integrates with social media platforms including TikTok, Instagram, and others to track performance metrics. By connecting your social media accounts, you authorize us to access public performance data necessary for campaign evaluation and payout calculations.

8. Prohibited Activities

Users may not:

  • Submit false or misleading information
  • Manipulate social media metrics or engagement
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Engage in harassment or inappropriate behavior
  • Attempt to circumvent platform security measures

9. Privacy and Data Protection

We are committed to protecting user privacy. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect social media performance data solely for campaign evaluation and platform functionality purposes.

10. Platform Availability and Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Service at any time. We will provide reasonable notice of significant changes when possible. We do not guarantee uninterrupted service availability.

11. Dispute Resolution

Disputes between users are handled through our internal mediation system. For disputes involving Prizefully, we encourage resolution through direct communication. Legal disputes will be governed by the laws of Delaware, United States, and resolved through binding arbitration.

12. Limitation of Liability

Prizefully's liability is limited to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages arising from platform use. Our total liability will not exceed the amount of fees paid to us in the twelve months preceding the claim.

13. Termination

Either party may terminate their account at any time. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, users remain responsible for outstanding obligations and payments.

14. Changes to Terms

We may update these Terms periodically. Significant changes will be communicated through platform notifications or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
